Could use a bit of work, the sound isn't quite there.
Think it would be cool if it stunned enemies for awhile, the overcharge could then kill them, like you already have.
And maybe change the color to more metalic. Otherwise good item.

some stats:
does 15% more damage
stuns targets attack option for ¼ second
backstabs have 50% chance on kill (or gets stunned for 3 seconds)
uses cloak every attack (you get 50% back on hit)
disables buildings for 2 seconds, but doesn't damages it
on kill, target incinerates, leaves no corpse behind (but does make a louder sound then the normal knife)

You should hit them with it to stun them, and while stunned, they will lose health. It should drain some cloak after every hit, though.

I think sticking this into the enemy's back so he'll die slowly would be much more fun :D Also if medic heal your victim at this very moment he'll get shock as well.

+ longer range of sapping(double/triple range)
+ sappers sap 50% faster
- one wrench hit removes it

since this is a knife, this knife effects your sapper, like the your eternal reward disables your disguise kit

for knife itself:
Bonus:
on backstab: immobilizes target for 2 seconds
on hit: slows target 10% for 2 seconds(multiple hits dont stack)
+15% attack rate

Negative:
-75% damage

Not a knife, it sure doesn't look like one.
It's another weapon for spy's melee. But damn, I would sure like a non-lethal way to kind of "kill" enemies.

I can see the stats before my eyes:

"+ longer range of sapping.
+ saps faster, taking out buildings quickly.
- can't place it on buildings."

omg i love it!!! you could shoot a tazer at a player about 5 meters away, then chose your time to tazer and kill them, perfect for engie kills, place it on them before they get to their sentry, let them go to their sentry, kill them from afar, then go in and sap. love it, replacement for revolver, perhaps it needs downsides, uses ammo that can be refilled, and it does not do rapid kills, i still love it, ADD IT TO THE GAME

-cloak doesn't recharge
-5 second cooldown
-Replaces Primary
+Once "placed", acts as a normal sapper (this controller "shoots" a radio wave to act like a sapper)
+Anyone who tries to take it off is "electrocuted" with a special electrify taunt for 5 seconds
+needs to be hit 4 times with a wrench or 2 times with a homewrecker to be taken off

since it replaces the knife you cant backstab so no instant kill so stats would be something like this:

-has a 5 second cooldown
-25% damage
+stuns enemy for 3 seconds
+shocked bulidings are shut down for a few seconds
+stunned enemies firing rate and movement is -50% slower

it could be good for getting away from enemys or stuning them for teammates to hurt or while there stunned your shot them.the resonde(not sure if i spelt that right xD) for the cooldown is so you dont spam shock them which would be gay and OP, but the cooldown could be 3 second with a stun of 1 or 2 seconds.enemies will still be able to attack but they will attack slower and more slower

On Sap: 15 percent health restored.
Takes 6 seconds longer to destroy a sentry
Takes 7 seconds longer to destroy a dispenser
Takes 7 seconds longer to destroy a teleporter.

how about it removes the right mouse ability until you taunt or something because the one thing wrong with medic and engineers remove it is what happens if there are no medic or engineers. (replaces sapper) but imo its great and very usesfull but you only get one at at timeand theres a cooldown

It'd be nice to have sapper mods. Maybe kills sentries +25% faster, but in return, is knocked off with one hit.
