Is shadow version just the black and white colors?
Or are there new textures?

Yes, exact same game just black and white, except for some accent colors like blood is red, police car lights flash red and blue, etc.
It must have been inspired by Sin City!

I don't see any reason. I played through the first part in shadows mode and turned it off. It's just a weird dlc imo. charging people to remove the colors...

I found on Reddit that - 'There are some graphical updates, but you may not notice them, they are quite minor.'. I don't know if you have to buy DLC to get these graphical updates (but without shadow filter of course) or are they free (in some update).

EDIT: Based on Reddit from link above - you will get graphical updates (with no black&white option of course) without DLC too if I'm not mistaken,
