There is no negotiation. Konami can simply do it if they wish. Valve isn't the kind of company to go out and ask for such things.
Konami can do that at any time. They could even include them as an exclusive for buying all the MG/MGS games if they wanted to. Nothing is stopping them from doing so, except themselves.
That is something to convince Konami of, not Valve. The power is in their hands.
There are no terms needed. Konami can just do it at any time and Valve won't even ask for anything in return.
Konami does have a remake of Metal Gear 3 coming soon. This could be good marketing for the game if they want it.
