A trade will NEVER require a SteamGuard code.
Those are only used to log into your account. Now, why would someone ask for one of those?
Lol...your account is 5 years old and you don't know what Steamguard is? Your Steamguard code is used to verify that you are the rightful account owner. Now take a minute...take your time...and ask yourself should I give that code away to someone?
Hopefully, the answer will be obvious.
Dude, becuase I know what is Steam Guard, thats why I find this is very suspicious. Thing is i'm very unexperineced about trading stuff and that's why i want to confirm what "counter trade" is and how its work.
Don't worry, I declined him already due to its suspiciousness first hand before asking here.

When you get a Steamguard code, the email tells you "Here is the Steam Guard code you need to login to account *****" so I would think it would go without saying that you shouldn't share that code with someone else. If you give that code to someone else...they could then login to your account.
It's not just "very suspicious." It's "completely suspicious." It's 100% a scam.

If someone sends you a trade offer, there is an option to change the trade and send a counter offer.
This could be considered a counter trade.
In a normal trade, people can add an remove items from both windows. If you do not agree with what is being give or asked for, you can change what is in both windows and see if they will accept it.
The scam aspect as already been covered.

As was said, never give a Steam Guard code. The only time that is needed is when logging into your account. There may be a few others, but they deal with account security and things like changing the authenticator, never about trades or trading.
That and never give your password and log-in out side of the log-in screen or the one verified on some sites.
