You'll lose your soldiers (unless you left them in a garrison), you'll lose your companions (but you can find them again), and you will also lose all of the prisoners you had with you.
I just did it the other day for lady isollo and I had king harlaus imprisoned in my party and then conquered his last fief. I waited and did my things and like maybe a few days later I won the kingdom.
I still had harlaus for a week in my party and when I talked to other swadian Lords i could ask about his whereabouts still even though isollo was recognized as queen by them.
Then swadia (my own faction) bought him off me and then he left the kingdom.
But anyway, you don't need to get all his guys on your side. Just take the last fief and give it a few days or weeks and you'll be good.. eventually your kingdom will buy them back from you
