Both games have a "realm divide" late in the campaign where the factions take two sides: in Shogun 2 it's pretty much Player vs. Rest of the Country, and in FotS it's Imperial vs. Shogunal govt. so the player will usually have strong AI allies, all the way to the end. This arguably makes the Shogun 2 campaign more challenging.
The multiplayer is a hybrid, and you can fight FotS armies of other players even if you're using a traditional Shogun 2 army, for example. But if you don't want to do that, you can always setup or search for a game that only allows for the forces of one of the eras. Both eras allow sieges, field and naval battles in multiplayer.
Those are pretty much the main things to know.
Both are very good games. I'd suggest just getting both when you see a good deal: if you are a TW fan, you won't regret it.
If you only want one, I guess it comes down to preferred time period or type of military history you enjoy the most.
If you always had hoped Empire and Napoleon had more to offer, and wanted to see a blackpowder era TW more than anything, you'll probably love FotS.
If you thought Med 2 was the best thing since sliced bread, and think TW is only TW when a guy is getting his head taken off with a two handed sword, then you'll probably enjoy Shogun 2 more than FotS.
You can go independant with Fall of the Samurai's realm divide making it the same as Shogun 2's realm divide. You don't have to choose a side at all.
True, but you can't choose a side in Shogun 2 vanilla.
Just take a look at a few videos, the look of the campaign map, the icons, the units and so on and make a decision.
