Scholar of the First Sin has different enemy spawns in some areas, different item locations in some areas, and all the DLC is integrated organically. Scholar of the First Sin is also 64-bit and uses DX11, so it's a bit better optimized for modern computers than DS2 is.

What the guy above said is exactly right, I am just posting the Changelog between DS2 and SotFS :)
