The undead merchant in the Undead Burg? He'll drop his Uchigatana, and, if you have not bought them, the Orange Guidance Soapstone and the Residence Key. Everything else he's selling can be bought elsewhere later.

Chainmail set can't be bought elsewhere to my knowledge, although the chained prisoner in township dungeon drops pieces of it.

I dont need leather shield I searched the dead undeads and so I got a Knights and Balder shield, I think they are better

The only useful things he sells that you can't get elsewhere are the warrior's round shield and the reinforced club, and everything important that he drops is automatically added to your inventory when he dies. I think you'll be fine.

Actually the crit multiplier for the Rapier is only x1.10 . . . The Bandit Knife has a x1.47 crit rating, Or were you refering to something else?

Also I believe you can farm the chain armor set from that chain monster thing at the bottom of Oolcile Township

AFAIK the only thing that the Undead Merchant sells that you can't farm elsewhere are Lloyd's Talismans

The rapier is available as a drop from the Balder Knights in the Undead Parish, too.

Killing him isn't really a huge deal. There is another merchant later on, though she sells different things. He drops the important things that he sells if you kill him, including his wep, Resident key, and Orange soapstone. The armor and equipment he sells is okay, but you can find better.
