Are you using the GFWL client that was installed by Steam?
You have to follow one of the various guides to get it running.
Here's one.
Take a look at Post #0 (OP) and #6.

nah the GFWL client is from xbox.com~~
for #1 i am using windows 7 currently so it won't be a problem in compatibilty~
for #6 actually i dont even have a two-step verification lol

Try this:
Make sure there is NO "xlive.dll" in your "C:\Steam\SteamApps\common\Dark Souls Prepare to Die Edition\DATA" and "C:\Program Files (x86)\Microsoft Games for Windows - LIVE\Client" directory, if there is delete it or rename it to "xlive.dll.bak".
Copy all files beginning with "xlive" from "C:\Windows\SysWOW64\" to "C:\Windows\system32".
Your directory paths may vary, of course.

there's only XLiveServices.dll in C:\Program Files (x86)\Microsoft Games for Windows - LIVE\Client
will it be a problem?

copying all files beginning with "xlive" ... done that and the gfwl overlay still not showing up

XLiveServices.dll is supposed to be there.
Sorry, I'm running out of ideas, without being hands-on on your PC :(
