Only thing I can think of is the story gets so heavy and dark that it can be rather disturbing for kids, even if the the violence, swearing, and sexual themes are PG-13 at the most.

Based on the interview IGN didi with Sefton Hill, it seems that the game got an M rating because of a scene or scenes in the story that ESRB just thought were too violent or disturbing to fit in a T game. Sefton Hill indicated that gameplay-wise the game would still be about the level as the previous games in terms of content, so it is probably story related. However, the game only got an M rating in Australia (which is what the previous Arkham games got) and not MA15 or R18 so you would think that whatever is shown couldn't be too over the top, especially since Australia is known for being pretty strict with their ratings.
If the main content is no worse than the other games I'm guessing it is a torture scene or harsh death scene that puts it over the edge.
It'll probably be one of those "if this was a movie it'd only be PG-13" games like Halo and the first Mass Effect.
Either that or the Red Hood story pack has some stuff in it that is more violent than the previous games.
At the most the cussing is PG-13. Even PG movies can have uses of the S word. Only when a movie uses more than one (though I've seen a couple PG-13 movies use it twice) F-bombs is when it is pushed into an R rating for cussing. Heck, even TV is letting the S word slide. I've seen TV-14 shows allow it.
