[Edit] I forgot to add something: don't take out all the thugs until after Croc is defeated. You'll need them to build up combos, so allow time for Croc to revive his crew away from you by using redirects and non-lethal devices on nearby henchmen without losing combo.
Later in the game there's a similar mini-boss fight inside one of the buildings. You'll use the same fight techniques to win against him that you used on Croc:

Based on this, it sounds like you're initiating the dual-team takedowns, but you're not completing them properly by countering at the appropriate moments. It is absolutely required that you make it all the way through the takedown sequence without getting hit. If you get hit during the sequence, you're not going to finish him no matter how many times you punch him.
So, to answer your question, yes, there's a way to duck: you press counter when he's attacking you. It's not random. It's a fixed animation. Pay attention to the counter indicator above his head. Don't even worry about punching him; that's mostly just for spectacle.
If you don't see a counter indicator, go back to the options and turn hints on. Or stop playing on New Game Plus (which disables counter indicators) until you figure out when in the animation to counter.
EDIT: Also, note that you need to counter correctly several times in order to get through the sequence. Something like three or four times.

Admittedly I was point-hoarding for max XP on a Hard play setting. No damage taken and multiple combat and gadget variations with both characters from maxing out combos. Incidentally, you can tell from the picture that I don't upgrade armor until last to incentivize not getting hit but the point everyone's been suggesting -- especially ChipperMDW -- still stands: complete the Dual Beatdowns without taking damage from Croc. Or anyone else for that matter.
In addition to inspecting your hint settings to make Counter icons visible, experiment with your screen resolution to make certain you can see more of the upper screen. Croc is tall so you might miss an incoming swipe from above but he also telegraphs his moves, so don't always wait for a counter icon when you can read his body language based on beatdown timing. He'll take a load of damage before swiping with either his claws or his tail but his attack pattern timing will become predictable. Don't get discouraged, do this a few times and you'll bag him.
