You need go to "_CommonRedist" folder and install Microsoft XNA, Direct X, DotNet for the game work. Be sure that all this is installed to operate. I had the same problem and so I had to install XNA. Go to program files -> Steam -> SteamApps -> Common -> Rogue Legacy -> _CommonRedist and install what you need.
