If you try to place it near avenues, it won't let you. Try downgrading to normal roads: the game now shoud allow you to place it, then you can upgrade the road again.
If this doesn't work, or you can't place it near normal roads, try deleting the road, placing the parking lot, and then connect it all together.

but I shoud specify that, the underground part of the parking lot doesn't actually work.
It may look like it, but unfortunatley it doesn't.
Sometimes cars will even use the road to go under, but then they'll park outside.
