Soup is not cereal, and cold soups such as gazpacho, naengguk and okroshka exist. Cereal is a grain, or alternatively a grain derivative in the sense that people make the mistake of thinking Corn Flakes was anything other than Temperance Era eugenicist Harvey Kellogg peddling snake oil like the science denier he and his ilk were.

Remove the word "just" & I will agree with you 100% - so is melted ice-cream.

The other difference is that it's sweetened & sugary, tending to focus more on sugars & maybe fruits rather than meat & vegetables (& pretty sure they both have "grains").

Also, this is really only if you consume it with milk, otherwise it's more like kibble or catfood for humans.
