You want to buy that CPU and you want to know if it fits that motherboard?
You're not saying the i5 3470 is rubbish?
If so then no that motherboard is a socket 1156 motherboard while the i5 3470 is a socket 1155 CPU.
Does that mean I need a new motherboard? Could you suggest some?
No no no, my CPU is a i5 661, which is a dual core, and the CPU in question is the one I'm thinking of buying :P

If going the i7-860 route: $220

I'm running an i7-950 CPU (same generation as the 860) and it runs pretty well with a GTX 660 graphics card. Battlefield 3 runs at 55-60 fps nearly maxed out and Skyrim (no mods) runs at 60 fps on ultra.
Personally I'd go with AMD rather than Intel and get a 6 or 8 core for cheaper, specially since DDR4 is coming pretty soon (standard in less than 2 years likely) and you might want to upgrade again sometime then if you can.
Here is my recommendation:
Motherboard $120~:
ASRock 990FX Extreme3 AM3+ AMD 990FX SATA 6Gb/s USB 3.0 ATX AMD Motherboard with UEFI BIOS
http://www.newegg.com/Product/Product.aspx?Item=N82E16813157281
CPU(s) $160:
AMD FX-8320 Vishera 3.5GHz (4.0GHz Turbo) Socket AM3+ 125W Eight-Core Desktop Processor FD8320FRHKBOX
http://www.newegg.com/Product/Product.aspx?Item=N82E16819113285
This CPU scores better on Passmark's public CPUbenchmark than the Intel i5-3570K (Ivy Bridge) and i5-4670K (Haswell):

And it's significantly cheaper. So for about $280 total that's what you get instead of Intel for about $330-360 from Intel with a similarly $120 priced motherboard and a $210-240 i5 CPU.
So that's what I'd do for myself. If you want a Intel ask someone else or go look on that first parts website I mentioned.
H55 is 1156 socket, That CPU is for an 1155 Socket. so no it wont work.
It comes with the CPU as well, not just the motherboard.
