Seems your not the only one with the issue - 'Keyes' just asked me this today as well.

Might be related to either the Windows update (which got rolled back in Win 7 - SP1 as bad) and Geforce Experience Software (latest version?) probably tried to update itself during that time.

Dec 10th: New Windows 7 patch was pretty much bugged - Disables some Graphics Driver updates and Windows Defender.

http://support.microsoft.com/kb/3004394

They rolled it back in a small 64kb update the following day.

Here's the patch for the patch:
https://support.microsoft.com/kb/3024777

You would probably have to clean / full install your graphic card drivers and Geforce Experience software again, after the Windows patch roll back, to fix any damage it might of caused. As it would be hanging upon shutdown, due to failing to update all it's components.

ps: Still not as bad as the fail Win 8.1 update, which would brick the entire system from even booting up. But yeah, Microsoft been at it again.

A program that isn't starting properly and can't be shutdown properly.

I have gotten this error a few times. It always goes away and has never amounted to anything. It ussually happens when I shut down my computer quickly after closing a program rather than when the computer sits idle briefly then I shut down. Also I have never had windows 7 on this computer.

Just logging to confirm that this problem can be solved by following the solution provided by Azza. I have just finished a clean/full install of the latest NVIDIA drivers (344.75, including PhysX & GeForce Experience) and no messages regarding cmd.exe pop up on restart and/or shutdown. Good luck to all having the same problem.
P.S.: No Windows updates were uninstalled in order to fix this.

A Windows update (kb3024777) itself, was the roll back for the previous (kb3004394). Windows should of applied it the next day, it's just incase something else got updated during that period which it affected.

Great to hear you got it sorted.

No sign of the offending update from microsoft on my system but same error. Nvidia Experience ver 2.1.4 was the cause in my case, uninstalled, rebooted and installed ver 2.1.5 and issue is gone.

Thanks to Azza for pointing me in right direction. :)
