best cpu for it would be a pii 1100t or pii 955/965 (if it can take a 125w cpu safely)

(965 is clocked lower and 13% faster per core, and 31% faster overall)
if its not good for 125w cpus, there is no amd upgrade worth it
get a new cpu/mobo
look into spending around $200-300 for a good upgrade

Since you currently have micro-ATX motherboard I used micro-ATX boards in here to be sure your case can fit them.
