Please note that the product activation is irreversible and the game will be bound to the account the game registration code was entered into.
Regardless of how you want to install the game (by download or by DVD), you will need a valid license and an activated key on the account you want to play on.
If you did not use the key then it should be enough to give away the key to activate the game on Steam, the DVD should not be necessary.
It is an activation key/product code. Using that key links the game to your steam account after which the dvd and key are basically useless. So if you've used the key then you can't gift it.

What's the point of the disc if it's completely unnecessary? and what's the difference between the registration code and activation key?
The registration code and activation key are the same thing. The disc was there so you could load the game from disc and only have to d/l updates. Many games don't even ship a disc anymore, just the code to redeem it on steam.
