Go to steam > settings > in-game and check if the shortcut keys are right.

Edit: I didn't fully read the "i have tried changing the keys"

Listen, sometimes people on steam forums try to give an answer quick and miss on information that op gives. This was our case.

Does this happen in a specific game or in all games?

Just to make sure, have you also made sure you have steam overlay enabled? It's in the in game settings too.
Other thing i can think of is end the overlay task and it will restart after.

Sorry for the late reply. Open task manager (Ctrl + Alt + Delete), search for steam client web helper and close the task. It will restart automatically. See if it fixed.

Same issue - no overlay, no screenshots taken, and one more thing I just noticed - no FPS counter.
So far I've tried to:
1) remap buttons
2) disable and then enable in-game overlay
3) repair by instaling STEAM anew without uninstalling it first
Nothing of the above worked

P.S. So.... It does work in SOME games. I tested it in a visual novel - a game with no 3D - everything is fine. Then I launched "Mass Effect" - nothing works: no FPS counter, no in-game overlay, no screenshots taken. I opened game's properties, the option "enable in-game overlay" is tagged. Thus, maybe it has something to do wih 3D graphics? I have Nvidia card and "Nvidia Experience" software installed.
P.P.S. Yeap, got to be an issue with 3D! Everything was fine in an old strategy game, but nothing works inan FPS shooter - just like in "Mass Effect" - no FPS counter, no overlay, no screenshot function.
