Game won't launch in either regular nor 9x/xp

I am trying to launch the game on windows 7 premium.

if I try a regular launch, dosbox launches, I hear the first few notes of the music, the mouse pointer comes up, then music stops, the entire thing freezes, I have to alt-tab back to windows and force close it

if I try a windows 9x/xp launch, the dialog to select a file to open the game with pops up, i select dosbox, I get an error that "patch code timed out," then when I click ok to close that message the intro pops up for a second with the music, then it all freezes.

Ideas?

1. Update DOSBOX. the version steam uses is out of date and causes issues on newer systems.

2. Install XCOMUTIL. http://www.ufopaedia.org/index.php?title=XcomUtil

3.Make sure you are running it as admin and compatibility mode.

Dosbox on steam IS up to date. The newest stable release is .74.
