When it comes to examples that make the game rated for Teens - the store page lists "Bad Language and Violence", but honestly I don't recall any bad language, and the violence is pretty cartoony. Really, I would be more concerned with these two female characters and
how your companion Issun likes to comment on their... feminity (img1[i.ytimg.com], img2[pbs.twimg.com]), but even that isn't much of an issue IMO.
Still, even though I don't recall anything inappropriate, it might not be right for a kid that young.
Voices are all just mumbly giberish. Not Japanese at all. It works well for 2005 limitations, but he'll probably need help with reading if he's serious about progress.
Edit: I watched a 4 year old beat a boss in Cuphead the other day, so he may follow directions well
Yeah, I remember playing Mortal Kombat II at that age, not exactly an appropriate game for a kid ;) Or Another World, hellishly difficult game that I couldn't finish at that time. Mortal Kombat didn't turn me into a murderer, and I eventually finished Another World and had a lot of fun replaying "that one cool game from my childhood", and Okami is a cool game indeed :)
I guess there's plenty of fun things for a 5 year old to do, even in the beginning of the game. There's some funny characters that you can mess with, like barking at people (and a dog) to startle them, or digging up turnips so the lady chases you around. Still, hard to tell if he'll like it. It's one of my favourite games, but I think I was ~14 when I first played it.
ACTUAL SPOILER WARNING: There's also the creepy kidnapping crow people, the implication of virgin sacrifice, and the giant spider lady thing who is just really creepy. And a boss. You were warned.
Over all, it's a great game, but I wouldn't recommend it for a 5-year old.

Nonsense I started gaming at age 3, Okami is perfectly suitable for any age, whether they complete the game or just run around aimlessly as a wolf.
But yeah, the Teen rating is mainly for Cartoon Violence (it's ink brush cel-shading graphics), Use of Alcohol (you have to use sake to beat the tutorial boss, for example) and jump scares. If I were you, I'd play it with him, or look up Chuggaconroys Let's Play of the game on YouTube to see if it's something for you/your kid.
As for me, I'll definitely buy it. Greatly enjoyed the PS2 version and since my PS2 died, this will be nice. I suggest getting a controller to play it.
