Some dropdowns are context sensitive depending on the active object type.
Here's a common scenario, the empty being the active object in the selection locking the modes, once the mesh object is active, the dropdown shows all modes.

I have a image selected. I wanted to make it a mesh and make it 3D. Maybe i'm missing something about selecting it using some other tool than simply clicking it
Background and Reference aren't actually mesh objects but Images parented to an Empty with a Texture.
However Images added as planes, can be edited, extruded etc. as they are actually a Plane Object with a Material and an Image put into the Surface Diffuse Output.
So if you, for instance, dragged and dropped your image into blender, it actually added it as a non-mesh object background image.
Yeah, i dragged and dropped it from folder to blender. I'll have to figure out how to add it as a plane object.
