What worked for me was to disable the razer synapse software of my mouse and keyboard, and that's the only way the game ran without problems. I had tried everything but nothing made it start.
I suppose that the game must have some impediment to run with that active application.
On a 64-bit Win10 system, symptoms are: Trying to start TD from Steam does nothing but briefly flicker a dialog box too fast to read. Uplay does not automatically start. Task Manager does not show TD as running. Uplay can be started from the desktop icon, or manually from the UplayLauncher.exe file, but cannot be started from the UplayLauncher64.exe file. With Uplay running and minimized in the system tray, trying to run TD from Steam results in the same nanosecond dialog flicker then nothing. Again, Task Manager does not show TD as running. Contacting Ubisoft Support resulted in some things to try - mainly go into Task Manager/Startup and disable all startup items then try again. When I did, no difference. :-/
Enabling "Run as administrator" on thedivision.exe and then starting the game from steam solved the problem for me.

Windows 8 / 10:
1. From the Windows Start, search for msconfig.
2. Select System Configuration / msconfig.exe from the search results.
3. On the Services tab of the System Configuration dialog box, click to select the Hide all Microsoft services check box, then click Disable all.
4. On the Startup tab of the System Configuration dialog box, click Open Task Manager.
5. On the Startup tab in Task Manager, for each startup item, select the item then click Disable.
6. Close Task Manager.
7. On the Startup tab of the System Configuration dialog box, click OK, then restart the computer.
Windows 8 / 10:
