Games for windows live, i know they are stopping it for good.
The CDkey was for GFWL or Games for Windows Live. The service is dying next year and some games are being ported from GFWL to Steamworks.
Bioshock 2 was the first one and it seems the Batman games will follow.
They already removed the CDkey, which probably means they will patch the game soon. Also there will probably be a Batman sale soon, for the release of Arkham Origins. A good ocassion to announce the Steamworks integration.
The bad? unfortunately you will not be able to play the game (unless it was preoviously activated) until the update.
But the update is very needed, there is a good chance that this will also remove Securom (another type of DRM) which limited installations. Not to mention GFWL, which is a headhache for many.
If you REALLY want to play now and cannot wait, I think you can create a offline profile in the GFWL interface. A offline profile can't access the leaderboards, but it will let you play and save your game.
