Why isn't this made by Rare?
Did they lose the rights or something?

Rare is currently a part of Xbox Game Studios. Microsoft acquired Rare on September 24, 2002. And no, they did not lose the rights to work on Perfect Dark. When Microsoft acquired Rare, they retained the rights to the game instead of Nintendo acquiring them. While Rare is not directly involved in the newest Perfect Dark game, they still hold the rights to the franchise.

As for why Rare didn't work on the newest Perfect Dark game, they have expressed a desire to focus on creating new content rather than revisiting old IPs like Perfect Dark. They are looking to explore new ideas and projects.

They are busy with their new game as well as constantly updating Sea of Thieves. Rare is a small studio.

Besides, the entire team behind the original has long left Rare anyway. Most of that team currently works at Crytek.

The OG team who worked on this game are gone, and all that's left if a company. MS owns the IP, so any developer under their umbrella of studios may be granted the right to work on subsequent games.

the real Rare Developers left when they were bought out. people need to stop thinking just cause they own the rare brand and licenses the original developers are still there...

They didn't. That's a myth that's been spread for a long time now and has been prooven wrong on multiple occasions.

Nintendo had the option to buy Rare, but they didn't take it. Rare itself had the option to be bought by either Activision or Microsoft and internally the majority voted for MS.

In fact, Sea of Thieves lead designer, Gregg Mayles, works at Rare since DKC1.

Pretty sure only the two brothers who owned the company made the decision and everyone below were clueless about the futur of the company and had no saying in it.

Well, the Stampers wanted to sell Rare but they involved every staff member in their decision. I think Chris Seavor (Conker) can e.g. confirm that.
The Stampers remained after the purchase for a small transition period.

As I mentioned Nintendo earlier, I also want to mention that the relationship between Nintendo and Rare took some blows during the N64 era with e.g. Miyamoto having the idea for GoldenEye that Bond and enemies shake hand at the end of each level to make clear that you as the player only shot actors. Or how Rare hat to redevelop Dinosaur Planet into a Starfox game.
