The key for me was having plenty of elemental attack items to take down the cheap anti-elemental shield during the first phase, along with plenty of frozen recovery potions. This seemed to rarely if ever trigger a counter.
One Knight iteration -can't remember if it's Magic Knight or Paladin- has a move that blocks all elemental attacks for every character on the same line, which blocks the breathe attacks. It also has a move that can heal all characters on the same line. I also had heal all transferred to another characters extra slot, as well plenty of healing items.
Warrior and Seeker -in my case Samurai and Magic Seeker- have a synthesis attack that does massive physical damage. Physical damage completely bypasses the elemental shield.
The second phase is a bit easier since the elemental shield is gone, although the dragon hits a little harder.
Truth be told, I got "soft locked" during my first encounter of this fight, and started a new game. Extreme I know, but I didn't grind and was extremely under powered, and under supplied. Again, bad game design in my opinion.
Grinding in dungeons with weapons and levels that allow you to take out the mobs without getting into turn based combat, seems to be the way the game is meant to be played. This allows you to make money, level archetypes and characters, and gather plenty of items. All this without wasting your mp.

EVERY enemy in this game spams AOEs to get crits and extra turns...its lame.
