OR, you can create your own vassals by promoting companions. But that might be a beta only option, not sure. I wish we could make family members into vassals instead, but we cannot. Companions are generally not very skilled leaders so they dont make good vassals. But the option exists, at least in beta.
To have this proposal, the Lord has to be poor, have no fief, dislike his lord and like you.
You can easily check the Lords you make prisoners and talk to them if they match the criteria. You may convert it without all these conditions, but it will be more difficult and more expansive.
