What level are you, and what gear do you have?
Second? Stack thunder resist, Aero, and just mash her face, casting Cure when necessary. Chug Ethers as necessary.
Literally like this - Fire > cauldron changes to orange firelike, wait a few seconds and Fire > Cauldron changes to larger firelike image, wait a few seconds and Fire > Ursula screams "Uhhhh", go to her and spam attack.
When she awakes, she will do a spinning attack which is deadly but easily dodged if you literally move around the room swimming up high in the air, then down, then up, then down as she follows your height but is very slow to catch up.
Just keep repeating the above then she'll die easily, attacking the two eels to gain more mp as much as possible. I did this on Proud Mode with no continues (hardcore achievement hunting here haha)
For 2nd fight (Ursula only) Definitely Aero & Cura for me, Thunder Rings on all 3 slots for Sora helped (don't bother about Donald and Goofy as they will die pretty much all the time anyway), but, and I mean absolute BUT - UNEQUIP MERMAID KICK, this is far more of a hindrance than benefit for this fight. You will need to use it to get across the Calm Depths and before going through the dark entrance to ???, unequip.
At the start of the fight, swim to Ursula, swim directly at her face so you are positioned in the middle of her crown and then swim up and then down so you are positioned at the back of her neck. Continuously doing this will essentially allow you to ride her as she turns around, completely missing her sucking in move which is the only thing Mermaid Kick is useful for. (Mermaid Kick causes unpredictable swimming, which is why removing this makes it soooo much easier).
Be mindful of the small lightning strikes although with Aero and the thunder rings, these should do minimal damage.
When you are close to bringing her down, she will say 'Now you've made me angry, time to teach you some respect' - This means she is going to be constantly spamming the circle lightning from that point onwards and you need to listen out for the key identifiers.
As soon as she says 'Now you've made me angry', assuming you are positioned behind her neck, swim directly up and forward towards the direction she's facing. This is the easiest way to dodge the lighting strikes.
If you try to swim backwards, the invisible wall will stop you (despite it looking like you're moving and you will always get caught in the lightning.) moving forward past the front of her face and going up will quickly get you out of the line of fire.
After this the key indicator you're listening for is "This won't be pretty". If she says that, do the above (swim up and forward above her face direction). She will usually do this two or three times in a row, so be prepared to move if she says it again.
Otherwise, just keep swimming behind her neck and hitting her until she's down, using Aero and Cure as necessary :)
Again done on Proud Mode, no continues.

Magic is very good in KH1, Aero is extremely useful and borderline OP. I say Goofy MP gift because you can effectively just turn him into your personal MP battery with that skill if you remove all his other MP usage skills.
Regarding equipment, it's a fairly simple system. The top of the list is your weapon and the rest are just accessory slots. Personally, KH2 has a much, much more organized and better equipment set up.
