and it takes 2 days to download cause i have slow internet so then i reinstaled it and says the same thing
The extrange thing is that the 1st time it launched with no problems.
Documents - Rockstar Games - Max Payne 3 - Open Graphics.xml with notepad or editor
Change this line "DirectXVersion value" and try out untill it works :
0 will be DX 9
1 DX 10
2 DX 10.1
3 DX 11
This one worked for me
<DirectXVersion value="0"/>
Also change the line
<Fullscreen value="0"/> to 1 if you want Fullscreen.

This actually helped yes, changed it to: 2 for DX 10.1. now it's working flawlessly so far.

If you are currently running Vista or Windows 7, please complete the instructions in the following link:

If you are running in Windows XP, take the following steps:
1) Exit Steam.
2) Go to the "Start" menu, select "Run", type "regedit" and click "OK".
3) Navigate to the following registry key: HKEY_CURRENT_USER\SOFTWARE\VALVE
4) Right click and select "Permissions"
5) Check the "Allow" boxes for "Admin" and "System" for both "Full control" and "Read".
The remaining steps apply to *all* versions of Windows.

Then test the issue.
If you still have difficulty, you may also need to manually run secondary installers required by this game.
Exit Steam entirely.
Browse to your Max Payne 3 installation folder (Usually C:\Program files\Steam\Steamapps\common\max payne 3\)
Run the following installers:
...\Steamapps\common\max payne 3\MP3_Installers\DirectX\dxsetup.exe
...\Steamapps\common\max payne 3\MP3_Installers\vcredist_x86.exe
...\Steamapps\common\max payne 3\MP3_Installers\Social Club Setup.exe
Reboot your computer and test the issue again.
