Passos was hired by the Brancos to hire Max Payne to be a "security consultant" when the real reason was for him to be the fallguy when the event happened in Max Payne 3. Further, Passos was neither a nypd cop or a friend from the past as noted by his colombian passport evidence in the derelict hotel stage. Passos didn't abandon Max, he saved Max on the rooftop as way of repaying his debt for Max saving Giovanna.
