Now !!!!! i found the solution is verifi game cache XD
* go to the folder Steam\steamapps\common\SleepingDogs\redist\DXRedist
* If you use 32bit Windows use: Jun2010_d3dx11_43_x86.cab
* If you use 64bit Windows use: Jun2010_d3dx11_43_x64.cab
* put the contents of the correct .cab file in the SleepingDogs folder where HKShip.exe is also located.
Start the game and enjoy
Directx is automatically installed with Win7, when the game launches the DX setup it thinks it's already installed and does nothing. But in fact the .dll's are nowhere to be found. Even when you run the setup manually, it'll do something and reboot your system but it simply won't put any .dll's down.

Maybe this link will help you know if your PC is using both the processors.
If it isnt,you have to enable both the cores in the BIOS.
I did that and now the game is working fine for me.Let me know if i could be of any more help.
