It took me a few tries to figure this out too, you shoot him until he stops to recharge his shield then when hes not shooting you run over to the fence on either side and cut a hole, you might have to wait behind cover after doing this caus he will be done and it is literally impossible (at least on I am death incarnate difficulty) to get to the cannons if he is firing. Once you are at the cannon you destroy the blimp in the air attatched to the generator on the roof. Once you destroy both blimps you need to make deathshead try to recharge his shield again (just shoot him a bunch). Once he tries again his shield will overload and he will drop below the roof. There is a large weapons cache against one of the walls in the arena you should find that before chasing him as it has valuable weapons, health, and armor pickups. Once you are down below he wont have a shield so all you need to do is shoot him until he dies. Hope this helps.

simpler even than you say, to do this part. While hiding behind the glass shield, cut through the fence. Then just sprint to cannon 1, shoot the Zep, sprint to cannon 2, shoot the Zep, then one rocket on DH and he goes all zappy-bang and disappears.

Then of course comes the 2nd part, in the smoke. You're at one end, DH is at the other. Study the layout a bit before going all the way in. Then you just shoot when your targeting reticle is red. I mostly did rockets on him.

well, I'm playing on baby mode because my stupid kbd died and I can't get this dork mini-kbd config'd properly (plus, with RSIs, I gotta be careful about certain things), which means way too much pause, grope for the right key...
