You do this counter by pressing forward (up) + punch just as an attack is about to (basically hits) hit you.
The timing is tricky, but you can get out of combos even when backturned through this.
Some characters also have a "get off me" move, like a ki blast and stuff like that. This usually costs skill points.
The major problem with this game is that there are 5ish counters for the front and only one for the back.
