Difference between these two? BF 2042 Elite Edition and Elite Upgrade

Elite Upgrade is for people who already own the game. It's an "unlockables" kind of DLC.
Elite Edition is for people without the game, as in it's a Base Game + Elite Upgrade.

Waste of money, only buy the standard edition. You only get some unlockable shortcuts and some cosmetics that are not worth the money.
