I have 16gb ram and another 16 gpu memory and I never saw this message.
Sure it crushes occasionally but never out of memory.
Probably your problem lies somewhere else.
I have same PC as you. Fixed the problem by doing these steps.
Deleted all shader files in C:\Users\PC\AppData\Local\NVIDIA\DXCache
Set shader cache size to 100 GB in NVIDIA config
Launched LOTF2-Win64-Shipping as administrator, located in steamapps\common\Lords of the Fallen\LOTF2\Binaries\Win64
Pressed alt-enter as soon as the game started (windowed)
The shader compilation might crash and give the the dreaded out of memory error message but don't give up. Just restart spam the game until the damn compilation finishes. Now I can finally play the game.
Sounds odd, but this error is CPU related.
A lot of 13/14 user have this problem.
The fix that worked was to severally unclock the CPU.
Most people suggested a -2 ratio
Try it out.

Had crashes on startup on Hogwarts Legacy always on first run after new driver install.
Just resolved that by deleting shader files in game folder before launching first time game. No issues. So yes try delete shader cache files it can work.
Basically a bug with 13/14th gen intel cpus that are literally too good for the game.
That's good to know. I was just double checking the recommended specifications and wondering why I was getting frame issues when the weakest component in my build (my CPU) was still 40% faster on average than their recommended hardware.
Since when is a CPU too good? LOL
This is a design flaw in the Intel CPUs and the error happens in all games that generate full load on the 13/14 chips when compiling shader.
Whatever, downclocking helps
Hey I know it's been a long ass time but I'm just trying this now, my core ratio is set at 58x, think I should drop it down to 54 or to 57?
