It's by Hopoo, who maintains the rights to this game specifically, as seen in their latest Dev Thoughts video.

But they did sold the IP already, how they still hold the rights for it?

In the video, they explain that Gearbox holds the rights to the IP and RoR2/future games, but Hopoo holds the rights to this specifically this remake, Risk of Rain Returns.

I guess it's a question of whether a remaster/remake of a prior game counts as a future game?

I assumed that they were working on this while they sold the IP to Gearbox, and seeing as they wanted to move on this can be considered their big send-off.

That's what made me confused, bc they were explicit about not doing anything RoR anymore, as the IP belongs to Gearbox now, then suddenly this pops up? Sounds fishy to say the least.

Nothing fishy about this. They sold the IP over to Gearbox but kept rights to their own game in the "universe" Gearbox has and can't have literally anything to do with RoRR.

Sorry to technically defend Gearbox but I see this claim a lot that there will suddenly be a boatload of predatory monetisation when they didn't put any of it in any of their main developed games at all. The closest thing to it in BL2/BL3 is some buyable skins that are admittedly pretty overpriced in 3. Meanwhile Wonderlands' DLC is pretty rough in terms of value for money but still not an MTX or lootbox issue. You'd have to really stretch to find anything else that could be considered either (free gold keys??? the BL3 battle pass ♥♥♥♥ was free AND permanent so...). idk about their published games but it seems what they directly make is fairly clean on this front, even if the games have been hit or miss quality-wise. rly no evidence that this is a concern even for their future titles atm.

Nothing fishy if you watch the video for half a minute.

Gearbox purchased the Risk of Rain IP from Hopoo Games.
They already were sole creators of all stages in the RoR2 DLC and many enemies within it as well, aside from publishing.
Hopoo remain developer and maintain full creative control over Risk of Rain Returns which is Gearbox Published.
Any potential sequels going forwards (AKA not already in existence like RoRR is) will be Gearbox.

Risk of rain already has loot boxes. How else are you supposed to get gasoline, meat nuggets and ukuleles without any artifacts activated?
