I suspect that it might be that the main menu adds the Mod Manager icon/link. But I could be utterly wrong.
You are absolutely correct. The ingame mod manager and especially the toolkit are considered modifications/additions to the game.
Mod creators do ignore the warning, as they know what they are doing, wanting the modifications. If the issue persists after removing the toolkit/disabling the toolkit DLC from the game's properties, one can clean the game's cache to remove the mismatch announement. But if one has never used mods it can be safely ignored.

Most likely a result of permission error. Follow the game update routine to prevent the issue in the future altogether.
Verifying the ingame files will never help if you used mods once. You need to remove them cleanly. In doubt cleanup the whole game, or use your backup
