It looks like you are probably missing some necessary DirectX files to run this game. Unfortunately this game doesn't come with additional folder with required DirectX installation, so I would suggest to find it on Microsoft web site. This game needs version 9.0c and up so keep that in mind.

Sound card settings. Need to be at an output of 16 mbit and 41000htz and then game will run

I have had the same problem, and the reason is that you need to install a previous version of DirectX to run the game. The link is as follows:
http://www.microsoft.com/en-us/download/details.aspx?id=35
This does not change the version of DirectX you have, it just adds on the previous version.
