You should be holding it, then any direction at the right time to dodge each strike. You don't have to do go down, left right, you can go down down down, or right right right, or whatever. It doesn't matter.
The timing is a bit tighter and less forgiving than AC was too. I personally have a serious problem with reliably countering the second strike. It really ticks me off, but I'm fully aware that it's my own fault too :)
I play with acontroller so maybe my situation is different, but I hold the analog stick away from the enemy for the entire move, and release the counter key in between strikes. Works fine for me that way.
OP, does anyone else play on the same computer? Ask them if they remapped the controlls if the problem still exists.

It used to be 'hold away and Y' then let go of Y and the thumbstick, then 'hold away and Y' for the second strike, then again a third time for the third strike. Basically hold Y and back away three times, letting go between each.
I just can't get that to work now though; half the time it just does the dodge, and not the takedown.
Maybe, but that sounds like a "Blade Dodge", which on the KB+mouse would be: Press and Hold Direction, press and release counter key.
As compared to A "Blade Dodge Takedown" which is:
Press and Hold Mouse 2, press and release direction key (ANY direction, doesn't matter which)
For Blade Dodge Takedown, one method that personally works for me (with decent rate of success) is to hold Back + Counter for the first two knife swings. As soon as Batman avoided the second knife swing, I rapidly tap Counter multiple times until Batman does the Blade Dodge Takedown animation.
I never managed to Blade Dodge Takedown a ninja though.
