It really looks like a spiritual successor to SMR. Granted I haven't played it myself, but from what I've seen it definitely has the same look and feel.

In a sense, yes. It shares a lot of mechanics.
Yes it is comparable; as Mansen said, it shares many mechanics. It is also missing some; for example, the inability to buy and sell shares of your own company, the inability to issue stock to raise capital, the inability to sell other companies stock. Also, player cannot connect track to A.I. competitors track (you could in RRT3 to use competitors stations to make money).

Having said that, it does have some mechanics that RRT3 doesn't have such as tech trees and the ability to ride the train in first person, as well as the ability to hire/fire employees to buff train and company performance.

Minor correction - You can definitely sell of stock you've bought previously.

Sid Meiers Railroads is much more toy-like. This game is much more simulator, although with a cartoon-like graphics.

You could ride the train in first person in RRT3.
