It probably won't, not considering all the work Valve have put into refining TF2, not only that but they would most likely have to make all new hats ;) which is a huge task on it's own. Furthermore making a sequel to this game, that surpasses it in both looks and gameplay would be tough. However if there were a TF3 I reckon it would follow the trend in Dota 2, cost money but not all that much, and also have lots of gift copies to promote it. Who knows though ;)

With TF2 Mann-co Store and Market provisions, Valve has built a steady source of cash flow (not unlike MMORPG companies) that not only back up the investments made during the initial development, also fuel future content updates, especially ones that can be viewed as new sources of funds.

Most of the time it is financially better option to continue developing such product with large player base and market than to start from scratch with a new game. TF2's artistic graphical style isn't demanding more accurate graphics / better shaders either, so little could be gained with a simple engine upgrade that can sometimes be justified.

That being said, I bet Valve (or the TF2 community) isn't too interested in TF3.
