Download the standalone phsyx installer. Run it
If the phsyx installer says you have one installed, remove it (should have an option when it detects it) and do the fresh install.

It will launch perfectly fine after that.

I can give you a complete rundown:
1. uninstall the current version of PhysX at the control panel
2. reboot your system
3. downlod the latest PhysX version from here:
http://www.nvidia.com/object/physx-9.13.1220-driver.html
4. install it and reboot your system

I also recommend to check the game's library and delete any PhysX related exe file, I mostly do with games because sometimes they mess up with the newer version.

It's not silly to restart after an update, your pc has to install registry entries and update your windows to work with it, it also has to update what is in memory for drivers that are used with it. This also enables a more bug free situation that is more stable when starting physx programs or when using the nvidia control panel to modify it. This has to be done as it's just like when you update windows. Also... just in case to avoid an issue such as if you had a pc crash or accidently restart, alot of times it won't save what you have updated, unless you restart properly right after updating programs, then mostly the harddrive saves your updates, otherwise you have issues if you don't, there's nothing silly about it. =P

I hope you were able to get your physx to work, don't forget to go through my guide and also in your nvidia control panel, if you have an nvidia geforce video card, set your nvidia control panel to "let the 3d application decide", by right clicking on the desktop or icon near the clock, and clicking the nvidia control panel, and selecting that option, this will make most of your games work better, as it uses your game's graphics settings, instead of the nvidia control panel trying to force a profile of its own, which you can modify as that's the reason for the profiles, to have higher graphics, but its unstable, only for advanced users or if you are curious and want to test it to see what you can get, but be warned that it is unstable if you try to force it through games, although I use it sometimes just for being curious and wanting to push my games to the extreme, other times I just leave it on "let the 3d application decide", and I click the apply button. :)

Although of course this is just one setting, after you update everything for your pc, in my guide. =)
